2. Description of Services

Opticoda provides IT consulting, custom software development, web design, cloud computing, and cyber security services. The specific details, deliverables, and timelines for your project will be outlined in a separate, mutually agreed-upon Statement of Work (SOW) or formal contract.

3. Client Responsibilities

To ensure the timely and successful delivery of our services, you agree to:

• Provide accurate, complete, and timely information required for your project.
• Respond to feedback requests and approvals within the agreed-upon timeframes.
• Ensure you own the rights to any text, images, or digital assets you provide to us for use in your project.

4. Intellectual Property Rights

Upon receipt of full payment, Opticoda grants you exclusive rights to the final deliverables (e.g., custom code, web design, graphics) created specifically for your project. However, Opticoda retains the right to use the completed project in our portfolio, case studies, and marketing materials unless a strict Non-Disclosure Agreement (NDA) is signed prior to the project's commencement.

Opticoda retains ownership of any pre-existing libraries, open-source frameworks, or proprietary tools used to build your project.

5. Payment and Billing

Payment terms are strictly governed by your specific project contract. Generally, a standard deposit (e.g., 50%) is required before work commences, with the remaining balance due upon project completion and before the final handover of source code or server deployment. Late payments may incur additional fees.

6. Limitation of Liability

In no event shall Opticoda, its directors, employees, or partners be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our services, including but not limited to loss of data, business interruption, or loss of profits.
